The Vodacom-SmartOps Fleet e-Hailing Car Investor Programme allows approved investors to finance a vehicle through Nedbank MFC and lease that vehicle to SmartOps Fleet for managed e-hailing operations. SmartOps Fleet takes responsibility for the vehicle operations, driver management, insurance, maintenance, tracking and operational support, while the investor earns a structured monthly return.
The investor earns through a monthly lease return paid by SmartOps Fleet. SmartOps Fleet pays the investor:
Yes. The programme is structured so that SmartOps Fleet pays the investor an amount equal to the full monthly vehicle instalment, subject to the investor complying with the lease agreement and confirming payment to the bank. The investor remains responsible for paying the bank directly, but SmartOps Fleet reimburses the investor through the lease return structure.
SmartOps Fleet assumes responsibility for operational costs, including insurance, maintenance, licensing and tracking. This means the investor does not have to manage vehicle upkeep or day-to-day vehicle operating costs.
No. SmartOps Fleet is responsible for recruiting and managing e-hailing drivers. The investor does not need to interview drivers, manage shifts, handle driver disputes, monitor trip activity, or deal with day-to-day vehicle operations.
Yes. The programme is designed for investors who want exposure to the e-hailing vehicle market without being involved in daily vehicle operations. SmartOps Fleet manages the vehicle, the drivers, the operating requirements and the platform onboarding process.
The investor finances the vehicle and remains the owner of the vehicle once the finance has been fully repaid. At the end of the finance term, ownership remains with the investor.
The lease period mirrors the vehicle finance term from the participating bank. For example, if the finance term is 60 months, the SmartOps Fleet lease agreement will also run for 60 months.
SmartOps Fleet’s monthly lease payments start from the second month after the vehicle is delivered to SmartOps Fleet. The first month is carried by the investor and is used for onboarding, registration, insurance activation, possible branding, and operational setup.
The first month allows SmartOps Fleet to fully onboard and integrate the vehicle into the managed e-hailing programme. This includes setup activities such as registration, insurance activation, vehicle preparation, onboarding and operational readiness.
If the vehicle finance application is not approved, the lease agreement becomes null and void, and neither party has further obligations under that agreement. This means the investor is not locked into the programme if financing is unsuccessful.
The investor must use a participating Motus dealership or another dealership/OEM authorised by SmartOps Fleet such as DongFeng Dealerships. SmartOps Fleet will guide approved investors on the correct participating dealership process.
Yes. Once finance is approved, the investor personally takes delivery of the vehicle and signs all required dealership and finance documentation. After that, the vehicle is handed over to an authorised SmartOps Fleet representative either at the dealership or another designated SmartOps Fleet location.
No. The vehicle is financed for the purpose of being leased to SmartOps Fleet for e-hailing operations. Once handed over and delivered, the investor does not retain possession of the vehicle. The vehicle is placed under the full custody, management and responsibility of SmartOps Fleet.
The programme is designed so that the investor is not involved in operational challenges such as driver availability, maintenance coordination, platform activity or vehicle management.
SmartOps Fleet remains responsible for managing vehicle productivity and safety. The investor’s return structure is based on the signed lease agreement and the investor’s compliance with the agreement.
Yes. The lease agreement creates a structured monthly return model where SmartOps Fleet pays the investor the monthly instalment amount plus an additional 40% commission, subject to the investor complying with the agreement and confirming that the bank instalment has been paid. Investors should understand that the payment obligation is contractual and linked to the signed lease agreement.
The investor’s main responsibilities include:
Opening a Nedbank transactional account is a SmartOps Fleet programme requirement. It is intended to reduce transactional friction, simplify payment flows and align the investor’s finance and payment process with the programme structure.
Yes. The investor remains responsible for paying the bank directly and on time. SmartOps Fleet pays the investor monthly in arrears, subject to compliance with the agreement and proof that the instalment has been paid to the bank.
Failure to pay the bank timeously and in full is a material breach of the lease agreement. This may result in immediate termination of the lease agreement and may also affect the investor’s bank finance position.
The investor may not terminate the lease prematurely without following the required notice process. If the investor wants to terminate, they must provide at least 12 months’ written notice. This is designed to protect operational stability and the professional drivers whose income depends on the vehicle.
Yes, but unlikely. SmartOps Fleet may, at its discretion, return the vehicle before the end of the 12-month notice period. If this happens, we will make every reasonable effort to introduce you to a suitable professional e-hailing driver from our e-hailing network. Should you wish to continue earning from your vehicle independently, you may enter into a direct rental or lease agreement with that driver. Once you decide to manage the vehicle directly:
The agreement may be terminated immediately if:
Once the finance has been fully repaid, ownership of the vehicle remains with the investor. SmartOps Fleet may request that the vehicle be traded in for a newer model based on operational, safety or technology requirements, but any trade-in or disposal would need to follow the necessary consent process.
A trade-in may be requested by SmartOps Fleet based on operational, safety or technology requirements. However, no trade-in or disposal of the vehicle may take place without the prior written consent of Nedbank MFC.
This opportunity allows approved investors to participate in the e-hailing economy without personally managing the vehicle. The investor benefits from:
To apply:
This programme gives approved investors an opportunity to own an income-generating vehicle asset while SmartOps Fleet handles the operational complexity. It is suitable for individuals who want to build asset ownership, earn monthly commission, participate in the e-hailing economy and support job creation without directly managing drivers or vehicle operations.
The investor remains responsible for the bank finance agreement. This means the investor must ensure that the monthly bank instalment is paid timeously and in full. SmartOps Fleet’s lease payments are made monthly in arrears and are subject to the investor complying with the lease agreement. Investors should therefore read and understand both the Nedbank MFC finance agreement and the SmartOps Fleet lease agreement before proceeding.
The biggest benefit is that the investor can own the vehicle asset while earning a structured monthly commission, without having to manage the operational burden normally associated with e-hailing vehicles. Each car also generates two permanent jobs. SmartOps Fleet manages the car, the drivers, the platform operations and the vehicle upkeep, allowing the investor to participate in the opportunity in a more passive way.
Settling the vehicle finance early will not automatically end the Smartops Fleet lease agreement. Provided that the lease agreement remains active and the investor continues to comply with its term, Smartops Fleet will continue paying the investor the monthly amount that would ordinarily have been payable to the bank, together with the agreed monthly commission, until the end of the lease term. For example, if the original monthly bank instalment was R10,000 and the investor settles the vehicle finance early, Smartops Fleet will continue paying: . R10,000 per month, representing the original scheduled finance instalment; and . R4,000 per month as the investor's 40% commission, until the agreed lease period comes to an end. This means that early settlement of the vehicle finance does not reduce the investors contractual monthly benefit for the remaining duration of the active lease agreement.
SmartOps Fleet will be responsible for applying for, holding and managing the required e-hailing Operating Licence for vehicles operated under the SmartOps Fleet managed programme, subject to approval by the relevant regulatory authority. The investor's primary role in the programme is to own and finance the vehicle, while SmartOps Fleet takes responsibility for operating and managing the vehicle for e-hailing purposes.
This means that the investor will not be expected to personally operate the vehicle or manage the day-to-day Operating Licence compliance process.
Under the programme:
This structure is intended to ensure that vehicles placed into the programme are not simply financed and left to operate informally. They form part of a professionally managed fleet where vehicle utilisation, driver allocation, maintenance, insurance, tracking, safety and regulatory compliance are centrally managed by SmartOps Fleet.
It also provides additional protection to the investor by separating vehicle ownership from the responsibility of operating the public transport service.
The investor remains the owner of the asset, while SmartOps Fleet assumes responsibility for managing the e-hailing operation for the duration of the applicable lease and operating arrangements.
Why is this important: The SmartOps Fleet model is designed to ensure that Operating Licences allocated to vehicles within the programme support real and active transport capacity.
Because SmartOps Fleet manages the drivers and vehicles, it can monitor whether vehicles are operational, appropriately maintained, compliant and actively contributing to the e-hailing ecosystem.
This supports the broader objective of creating a professionally managed fleet of modern, safe and consistently operational vehicles while reducing the risk of Operating Licences being associated with vehicles that are no longer actively providing e-hailing services.
In simple terms: You own the vehicle. SmartOps Fleet manages the e-hailing operation, including the Operating Licence and compliance requirements.
